No Endorsement: References to any products, services, processes, or other information by trade name, trademark, manufacturer, supplier, or otherwise does not constitute or imply endorsement, sponsorship, or recommendation by Ayora.
To the maximum extent permitted by applicable law, in no event shall Ayora, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

Informal Resolution: Before filing a claim, you agree to try to resolve the dispute informally by contacting us at support@ayora.com. We'll try to resolve the dispute informally by contacting you via email.
Binding Arbitration: If we cannot resolve a dispute informally, you and Ayora agree to resolve any claims, disputes, or controversies (whether in contract, tort, or otherwise) arising out of or relating to these Terms or the Service through final and binding arbitration, except as set forth below. The arbitration will be conducted by a single arbitrator under the rules of the American Arbitration Association (AAA) or another mutually agreed-upon arbitration service.
Exceptions: You may opt out of this arbitration agreement by sending written notice to support@ayora.com within 30 days of first accepting these Terms. Additionally, either party may bring a lawsuit in small claims court or to seek injunctive relief to stop unauthorized use or abuse of the Service or infringement of intellectual property rights.
Class Action Waiver: You and Ayora agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. If for any reason a claim proceeds in court rather than in arbitration, you and Ayora each waive any right to a jury trial.
These Terms shall be governed and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Ayora Technologies, Inc. is incorporated in the State of Delaware. If you are located outside the United States, these Terms will still apply to the extent permitted by the laws of your jurisdiction.
For any disputes not subject to arbitration (as set forth in the Dispute Resolution section), you agree to submit to the personal and exclusive jurisdiction of the state and federal courts located in Delaware, United States. You waive any objection to the venue or jurisdiction of such courts.
If any provision of these Terms is held to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions of these Terms will remain in effect. The invalid or unenforceable provision will be modified to the minimum extent necessary to make it valid and enforceable, or if such modification is not possible, it will be severed from these Terms.
These Terms, together with our Privacy Policy and any other legal notices published by us on the Service, constitute the entire agreement between you and Ayora concerning the Service and supersede all prior agreements and understandings, whether written or oral, relating to the Service.
Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. The waiver of any such right or provision will be effective only if in writing and signed by a duly authorized representative of Ayora. Except as expressly set forth in these Terms, the exercise by either party of any of its remedies under these Terms will be without prejudice to its other remedies under these Terms or otherwise.
You may not assign or transfer these Terms, by operation of law or otherwise, without Ayora's prior written consent. Any attempt by you to assign or transfer these Terms without such consent will be null and void. Ayora may freely assign or transfer these Terms without restriction. Subject to the foregoing, these Terms will bind and inure to the benefit of the parties, their successors, and permitted assigns.
Nothing in these Terms creates any agency, partnership, joint venture, employment, or franchise relationship between you and Ayora. Ayora is a platform that connects service providers with potential clients. Ayora does not employ, recommend, or endorse any service providers, and service providers are independent contractors, not employees or agents of Ayora.
Ayora will not be liable for any failure or delay in performance under these Terms which is due to earthquake, fire, flood, act of God, act of war, terrorism, epidemic, pandemic, labor dispute, civil commotion, interruption in telecommunications or internet services or network provider services, failure of third-party equipment or software, or other causes beyond our reasonable control.
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If we make material changes to these Terms, we will provide notice prior to any new terms taking effect, which may include posting a notice on our platform or sending an email notification. What constitutes sufficient notice will be determined at our discretion.
By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, please stop using the Service and deactivate your account.
Your continued use of the Service following the posting of any changes to these Terms constitutes acceptance of those changes.
